Unless otherwise stated, all rights in any information which appears on this site (including videos, images, screen displays, the content, the text, graphics, and look and feel of the site) belong to Nouvel Creative, a division of Sonautic Ltd.
All trade marks, service marks, company names, or logos are the property of their respective holders.
Any use by you of these materials, marks, names, and logos without express permission may constitute an infringement of the holders' rights.
USE OF THE SITE
You may access this site for your own personal non-commercial use only. You may not download and keep or print any part of this site without our prior written consent.
You may not access any part of this site prohibited by any notice or restriction, or where it is reasonably obvious that such part of the site is meant to be private.

By entering this site or engaging our services, you acknowledge and agree that the use of this site and our services is at your own risk and to the extent permissible by applicable law, in no circumstances, including (but not limited to) negligence, shall we be liable for any direct, indirect, incidental, special, consequential, or punitive damages, losses, costs, or expenses nor for any loss of profit that results from the use of, or inability to use, this site or any material on any site linked to this site even if we have been advised of the possibility of such damage. All express or implied warranties or representations are excluded to the fullest extent permissible by law.
DEFINITIONS
"Nouvel Creative" or "we" or "us" or "our" refers to the creative services division of Sonautic Ltd (registered in England and Wales), trading as Nouvel Creative, and where applicable its subsidiary Sonautic Inc. (a Delaware C-corporation).
"Client" or "you" or "your" refers to any individual, company, partnership, or other entity that engages Nouvel Creative for services, accesses our website, or enters into a service agreement with us.
"AI Content" means any creative materials, including but not limited to video advertisements, images, animations, voiceovers, music, text, graphics, avatars, digital likenesses, and any other outputs generated in whole or in part using artificial intelligence technologies.
"AI Tools" means any artificial intelligence, machine learning, deep learning, neural network, large language model, diffusion model, generative adversarial network, or other automated content generation technology used by Nouvel Creative in the production of Deliverables.
"Deliverables" means the final creative outputs delivered to the Client pursuant to a Statement of Work or service engagement, which may include AI Content.
"Services" means the creative production, AI content generation, video advertising creation, campaign strategy, and any related services provided by Nouvel Creative to the Client.
"Statement of Work" or "SOW" means any document, proposal, order form, email confirmation, or other written communication agreed between the parties that sets out the scope, specifications, timeline, and fees for a particular engagement.
"Platform" means the Nouvel Creative self-service platform, dashboard, or any web application through which Clients may access Services.
"Underlying IP" means all pre-existing intellectual property, tools, frameworks, templates, processes, methodologies, AI models, prompts, workflows, and know-how owned by or licensed to Nouvel Creative prior to or independently of any Client engagement.
AI CONTENT SERVICES AGREEMENT
This section governs all creative services engagements between Nouvel Creative and the Client, whether provided through the managed agency service or the self-service Platform.
Engagement and Scope
1.1. Each engagement shall be governed by a Statement of Work agreed between the parties, which shall specify the scope of Services, Deliverables, timeline, fees, and any special requirements.
1.2. In the absence of a formal Statement of Work, an email exchange between authorised representatives confirming scope, deliverables, and fees shall constitute a binding agreement.
1.3. Nouvel Creative reserves the right to determine the tools, technologies, methodologies, and AI systems used in the production of Deliverables.
Client Obligations and Representations
2.1. The Client shall provide all necessary brand assets, guidelines, product information, and creative briefs in a timely manner.
2.2. The Client represents and warrants that all materials provided are owned by or properly licensed to the Client, and that the use of such materials does not infringe any third party rights.
Revisions and Approval
3.1. Unless otherwise specified, each engagement includes up to two (2) rounds of revisions.
3.2. The Client shall provide feedback within five (5) business days. Failure to respond shall be deemed approval.
Fees and Payment
4.1. Invoices are due within fourteen (14) days. Late payments accrue interest at 2% per month.
4.2. A deposit of up to 50% may be required for project-based engagements.
4.3. All fees are exclusive of VAT.
Cancellation
5.1. Cancellation within 72 hours of commencement: 50% of total fee.
5.2. Cancellation after 72 hours: full fee.
5.3. Nouvel Creative may terminate if the Client breaches any material term.
AI AND TECHNOLOGY PROVISIONS
THIS SECTION CONTAINS CRITICAL PROVISIONS REGARDING THE USE OF ARTIFICIAL INTELLIGENCE IN THE PRODUCTION OF DELIVERABLES.
6.1. The Client acknowledges that Nouvel Creative utilises artificial intelligence technologies in the creation of Deliverables. The Client understands that AI Content may be generated using third-party AI systems over which Nouvel Creative does not exercise direct control.
6.2. The Client acknowledges that the regulatory and legal landscape surrounding AI-generated content is evolving and uncertain.
7.1. NOUVEL CREATIVE MAKES NO REPRESENTATIONS OR WARRANTIES WHATSOEVER REGARDING AI CONTENT. ALL AI CONTENT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
8.1. The Client is solely responsible for reviewing all Deliverables, conducting independent legal review, obtaining all necessary clearances, and ensuring compliance with all applicable laws.
9.1. The Client shall indemnify and hold harmless Nouvel Creative from any claims arising from the Client's use of AI Content or Deliverables. This indemnification obligation shall survive termination.
10.1. AI technologies are subject to rapid change. Nouvel Creative shall not be liable for any impact resulting from changes to underlying AI technologies.
11.1. The Client accepts all risk associated with the uncertain legal status of AI-generated works.
INTELLECTUAL PROPERTY AND LICENSING
12.1. All Underlying IP shall remain the exclusive property of Nouvel Creative. The Client acquires no rights to any AI Tools, models, prompts, or processes used in the creation of Deliverables.
13.1. Subject to full payment, Nouvel Creative grants the Client a non-exclusive, worldwide, perpetual licence to use the Deliverables for the purposes specified in the Statement of Work.
13.2. Unless otherwise agreed, this licence permits use for commercial advertising across digital platforms, social media, and web properties. Broadcast, cinema, out-of-home, or print requires separate agreement.
14.1. The Client grants Nouvel Creative a non-exclusive, royalty-free licence to use Client Materials for providing the Services.
15.1. Unless the Client objects in writing within 14 days, Nouvel Creative may use Deliverables in its portfolio and marketing materials.
LIMITATION OF LIABILITY
16.1. NOUVEL CREATIVE'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.
16.2. IN NO EVENT SHALL NOUVEL CREATIVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
16.4. Nothing in these Terms shall exclude liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded under applicable law.
Neither party shall be liable for failure or delay due to force majeure.
PRIVACY POLICY
Sonautic Ltd, trading as Nouvel Creative, is the data controller. We comply with the UK GDPR and the Data Protection Act 2018.
We may collect: name, email address, company name, job title, telephone number, billing information, IP address, browser and device information, and usage data.
We process data on the bases of contractual necessity, legitimate interests, consent, and legal obligation.
We may share data with third-party AI service providers, cloud hosting providers, payment processors, and professional advisors.
Data may be transferred outside the UK and EEA using appropriate safeguards. Client engagement data is typically retained for six (6) years.

GENERAL PROVISIONS
Confidentiality: Each party shall keep confidential all information received from the other party.
Non-Solicitation: The Client shall not solicit any employee or contractor of Nouvel Creative for 12 months after engagement.
Governing Law: These Terms shall be governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
Entire Agreement: These Terms constitute the entire agreement between the parties.
Severability: Invalid provisions shall be modified or severed; remaining provisions continue in full force.
Waiver: No failure or delay in exercising any right shall constitute a waiver.
Assignment: The Client may not assign rights without consent.
Amendments: Nouvel Creative reserves the right to amend these Terms at any time.
Third Party Rights: These Terms do not confer rights on third parties except as specified.
